Toronto, ON - March 18th, 2022 - Canada Computational Unlimited Corp. (the “Company”, “TSXV: SATO” or “CCU.ai”) announces it has granted stock options to officers, directors and consultants of the Company.
Options to purchase an aggregate of 4,877,419 common shares were granted to officers, directors and consultants (including consultants performing investor relations activities) pursuant to the Company’s Amended and Restated Stock Option Plan. The Options are exercisable into common shares of the Company at a price of CAD$0.64 per share for a period of 5 years from date of grant and are subject to vesting conditions.
Escrow release
As of March 14, 2022, an aggregate of 3,280,744 common shares that were held in escrow pursuant to the policies of the TSXV have been released. Details of the escrow terms and shares subject to escrow were set out in the Filing Statement filed by the Company on August 26, 2021, on SEDAR. Two of the holders of escrowed shares, Julien Romanetto and Frédéric Montagnon, ceased to be 10% holders and insiders of the Company following the increases in the issued and outstanding shares of the Company resulting from a private placement (see the Company’s press release of January 21, 2022) and the exercise of warrants by True Global Ventures 4 Plus Fund PTE Ltd. (see the Company’s press release of October 27, 2021).
